CRIMEWATCH® WEBSITE, APP, AND SERVICES TERMS OF USE

Introduction

These Terms of Use (“Terms”) form a legally binding agreement between you (“You,” “Your,” or “User”) and CRIMEWATCH Technologies, Inc. (“CRIMEWATCH,” “we,” “us,” or “our”), and govern Your access to and use of our websites, mobile applications, and related CRIMEWATCH® services (collectively, the “Services”). By accessing or using the Services, You agree to be bound by these Terms. If You do not agree, do not access or use the Services.

IMPORTANT:

• The Services are not intended for emergency communication. In an emergency, dial 911.

• The Services are intended for individuals 18 years of age or older. If You are under 18, You may not use the Services.
• Your access to or use of the Services constitutes Your electronic signature and agreement to these Terms.

IMPORTANT NOTIFICATION. Individuals accused of crimes and depicted in this and affiliated Services are presumed innocent until proven guilty beyond a reasonable doubt. Content on the Platform, Website, and App is posted, administered, and owned by law enforcement agencies, and is subject to change at any time. CRIMEWATCH Technologies, Inc., its owners, officers, directors, employees, agents, affiliates, and subsidiaries, provide NO WARRANTY OR REPRESENTATION regarding the contents of the Platform, Website, or App, and are not responsible for its accuracy, timeliness, or relevancy. Definitions

The following terms have the meanings ascribed to them or as defined throughout the Terms:

• “App” means our mobile application(s) made available for iOS and Android devices;
• “Content” means all text, data, graphics, images, audio, video, software, user submissions, and other materials made available through the Services;
• “Platform” means the CRIMEWATCH® platform and related services offered via the Internet and the App;
• “Licensors” means suppliers and business partners, including Participating Agencies;
• “Participating Agencies” means certain law enforcement agencies, municipalities, and first responders;
• “Services” means the Platform, Website, and App, including all Content and services provided therein;
• “User Content” means any content, data, information, or materials submitted, uploaded, posted, or transmitted by Users through the Services;
• “Website” means the websites we operate, including crimewatch.net, crimewatch.io, crimewatchtech.com, crimewatchpa.com, crimewatchfl.com, and crimewatchus.com; and
• “You,” “Your,” or “User” means the individual or entity accessing or using the Services.

Acceptance of Terms

By accessing or using the Services, You acknowledge that You have read, understood, and agree to be bound by these Terms and our Privacy Policy. If You do not agree, You must immediately stop accessing or using the Services.

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Services, on our Website, or by updating the “Last Updated” date at the top of these Terms.

Your continued access to or use of the Services after such notice constitutes acceptance of the modified Terms.

Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not use the Services.

If You are using the Services on behalf of an organization, You represent and warrant that You have the authority to bind that organization to these Terms.

Emergency Disclaimer

DO NOT RELY ON THE SERVICES FOR EMERGENCY COMMUNICATIONS. THE SERVICES ARE NOT A SUBSTITUTE FOR CALLING 911 OR CONTACTING LOCAL EMERGENCY SERVICES. In the event of an emergency, dial 911 or your local emergency number immediately. The Services should not be used as a replacement for direct communication with first responders.

Privacy and Data Sharing

Our collection, use, and disclosure of Your personal information are governed by our Privacy Policy. By using the Services, You consent to the practices described in the Privacy Policy.

Law Enforcement Sharing: CRIMEWATCH works with law enforcement and public safety agencies. In accordance with our Privacy Policy and applicable law, we may share information You provide or that we collect through the Services with law enforcement and public safety officials for legitimate public safety purposes. If You do not want your information shared in this manner, you must not access or use the Services.

User Account Registration

Some features of the Services may require You to register for an account. When You register, You agree to:

• Provide accurate, current, and complete information;
• Promptly inform us of updates to Your account information;
• Maintain the security of Your password;
• Accept all responsibility for activities that occur via Your user name or password; and
• Notify us immediately of any unauthorized use of Your account.

You are responsible for all activities that occur under Your account. CRIMEWATCH is not liable for any loss or damage arising from unauthorized use of Your account.

Permitted Use of Services

Subject to Your compliance with these Terms, and solely for lawful purposes, CRIMEWATCH grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for Your personal, non-commercial use.

Accordingly, You agree not to, and will not permit any third party to:

• Resell or make commercial use of the Services;
• Use the Services in any way that violates applicable law, court order, or regulation;
• Access or use the Services for any unlawful, harmful, fraudulent, or malicious purpose;
• Infringe on our intellectual property rights, including the use of our tradename, trademark, or branding of CRIMEWATCH in metatags, keywords, and hidden text; or logos, service marks, brand identities, characters, trade names, graphics, designs, text, or other content available through the Services without our prior written consent;
• Use any automated system (including bots, crawlers, or scraping tools) to access, extract, or index any portion of the Services without our prior written consent;
• Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Services;
• Interfere with or disrupt the operation of the Services, servers, or networks;
• Use the Services to harass, threaten, or defame any person; or
• Reverse engineer, decompile, or disassemble any portion of the Services.

Prohibited Content.

You agree that You will not use the Services in a manner, or share any Content, that: (a) is false or misleading; (b) is defamatory, derogatory, degrading or harassing of another or constitutes a personal attack; (c) violates another’s privacy rights or includes, copies or transmits another’s confidential, sensitive or personal information; (d) comprises or promotes bigotry, racism, hatred or harm against any group or individual; (e) is obscene, not in good taste, or otherwise objectionable; (f) violates or infringes or promotes the violation or infringement of another’s rights, including intellectual property rights and privacy rights; (g) You do not have the right and authority to share and grant the necessary rights and licenses for to CRIMEWATCH and all other Services users; (h) violates or promotes the violation of any applicable laws or regulations; (i) contains a solicitation of funds, goods or services, or promotes or advertises goods or services; or (j) contains any viruses, Trojan horses, malware, tracking, or other components designed to limit or harm the functionality of a computer, storage device, or other system. CRIMEWATCH may report You to the relevant authorities and may act under the fullest extent of applicable laws if You transmit or upload content intended or designed to cause harm or otherwise is deemed in violation of these Terms.

User Content

Your Responsibilities: You are solely responsible for all User Content You submit, post, or transmit through the Services. You represent and warrant that You own or have the necessary rights to use and authorize CRIMEWATCH to use all User Content, and that Your User Content does not violate these Terms or any applicable law.

License Grant to CRIMEWATCH: By submitting User Content through the Services, You grant CRIMEWATCH a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Services.

This license survives termination of Your account or these Terms. You acknowledge that CRIMEWATCH may share Your User Content with law enforcement agencies and the public as part of the Services.

Content Monitoring and Removal: CRIMEWATCH has no obligation to monitor User Content but reserves the right to review, remove, or disable any User Content that violates these Terms or is otherwise objectionable, as reasonably interpreted by CRIMEWATCH.

Intellectual Property Rights

The Services and all Content are owned by CRIMEWATCH or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. CRIMEWATCH, CRIMEWATCH®, NEXUS™, CW ENGAGE™, the red eye design, and all related logos and designs are trademarks of CRIMEWATCH Technologies, Inc.

Nothing in these Terms grants You any right, title, or interest in the Services or Content, except for the limited license expressly granted above. All rights not expressly granted are reserved by CRIMEWATCH. You agree that You will not use the Website or Content to infringe our intellectual property rights. You may not remove, deface, or overprint any notice of copyright, trademark, logo, or other notice of ownership from any originals or copies of Content You access on or through the Services.

Digital Millennium Copyright Act (“DMCA”)

CRIMEWATCH is committed to respecting and protecting the legal rights of copyright owners. If You believe that content available through the Services infringes Your copyright, You may submit a notice of claimed infringement under the DMCA to our designated Copyright Agent (legal@crimewatch.net).

Your DMCA notice must include:

• A physical or electronic signature of the copyright owner or authorized representative;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the infringing material and information sufficient to locate it;
• Your contact information (address, telephone number, and email address); and
• A statement of good faith belief that use of the material is not authorized;
• A statement under penalty of perjury that the information is accurate and You are authorized to act on behalf of the copyright owner

Third-Party Links and Services

The Services may contain links to third-party websites, applications, platforms, or services that are not owned or controlled by CRIMEWATCH. We do not endorse, monitor, or make any representations regarding any third-party websites or services, including their content, policies, or practices. If You choose to access or use any third-party website or service, You do so at Your own risk.

You acknowledge that Your use of a third-party website or service may be subject to additional terms, conditions, or privacy policies between You and the applicable third party. CRIMEWATCH is not responsible for any loss, damage, or liability arising out of Your use of any third-party website or service.

Other names appearing in the Services may be trademarks of their respective owners.

Disclaimers of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRIMEWATCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CRIMEWATCH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT INFORMATION PROVIDED IS ACCURATE, COMPLETE, OR CURRENT. YOU USE THE SERVICES AT YOUR OWN RISK.

WITHOUT LIMITING THE FOREGOING, CRIMEWATCH MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ANY THIRD-PARTY SERVICES OR CONTENT ACCESSED THROUGH THE SERVICES. SEE ‘THIRD-PARTY LINKS AND SERVICES’ FOR ADDITIONAL TERMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRIMEWATCH AND ITS AFFILIATES (OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CRIMEWATCH’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).

The limitations above do not apply to liability resulting from our gross negligence or willful misconduct, or Your indemnity obligations expressed below.

Indemnification

You agree to indemnify, defend, and hold harmless CRIMEWATCH, its affiliates, officers, directors, employees, agents, and licensors from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees arising out of or related to: (a) Your use of the Services; (b) Your violation of these Terms; (c) Your User Content; or (d) Your violation of any rights of another party.

CRIMEWATCH reserves the right to assume the exclusive defense and control of any matter subject to indemnification by You, and You agree to cooperate with our defense of such claims.

Termination of Use

CRIMEWATCH may, in its sole discretion, at any time:

A. remove any User Content You share on or through the Services;

B. discontinue providing or limit access to the Services, any areas of the Services, or Content provided on or through the Services; and,

C. terminate or limit Your access to, or use of, the Services or any Content.

CRIMEWATCH shall not be liable to You or any third-party for any termination of rights under these Terms, limitation of Your access to, or use of, the Services or any Content, including Content that You may have shared, or if, for any reason, all or part of any of the Services or Content is unavailable at any time.

Dispute Resolution

Before filing a claim against CRIMEWATCH, You agree to contact us and attempt to resolve the dispute informally by sending a written notice to legal counsel (legal@crimewatch.net). We will attempt to resolve the dispute informally by contacting You. If a dispute is not resolved within 60 days, either party may initiate arbitration.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, except as modified by this section. The arbitration shall be conducted by a single arbitrator in Cumberland County, Pennsylvania, unless You and CRIMEWATCH agree otherwise.

The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. YOU AND CRIMEWATCH AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND MAY NOT BE BROUGHT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Waiver of Jury Trial. You expressly agree to waive the right to a trial by jury in any dispute arising out of these Terms or Your use of the Services.

Exceptions: Notwithstanding the above, either party may bring an action in court for injunctive or equitable relief to protect intellectual property rights.

Governing Law and Venue: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles. To the extent arbitration does not apply, You agree to submit to the exclusive jurisdiction of the state and federal courts located in Cumberland County, Pennsylvania.

Termination

CRIMEWATCH may suspend or terminate Your access to the Services at any time, with or without cause, with or without notice, effective immediately. Upon termination, Your right to use the Services will immediately cease, and CRIMEWATCH may delete Your account and any User Content associated with it.

You may terminate Your account at any time by discontinuing use of the Services and, if applicable, closing Your account through the account settings.

The following provisions survive termination: Intellectual Property Rights, User Content, License Grant, Disclaimers of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, and General Provisions.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between You and CRIMEWATCH regarding the Services and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the other provisions shall remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. CRIMEWATCH’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
